Talk Business UK - Membership Terms and Conditions

 

Effective Date: July 29, 2025

These Terms and Conditions ("Terms") govern your membership with Talk Business UK, the trading name of Business Forums and Training Ltd, a company registered in England and Wales under company number 11979044, whose registered office is at 5 Shannon Way, Evesham, Worcestershire, WR11 3FF ("Talk Business UK", "we", "us", "our").

By applying for, accessing, or renewing your membership with Talk Business UK, you agree to be bound by these Terms. If you don't agree to these Terms, you mustn't proceed with your membership application or continue to use our services.

Please read these Terms carefully before proceeding.

 

1. Definitions

 

The following definitions apply in these Terms:

  • Application: Your application for membership with Talk Business UK, submitted via our website or other approved means.

  • Business Day: A day other than a Saturday, Sunday, or public holiday in England, when banks in London are open for business.

  • Contract: The binding agreement between you and Talk Business UK, formed upon our acceptance of your Application, incorporating these Terms and any other documents expressly referred to herein (e.g., Privacy Policy).

  • Contract Term: The initial 12-month period of your Membership, commencing from the date your Membership is accepted by Talk Business UK.

  • Detailed Service: The membership services provided by Talk Business UK, which currently include, but are not limited to:

    • Access to online and face-to-face networking events.

    • Access to online and face-to-face learning events.

    • Opportunities for business growth through building business relationships.

    • Knowledge sharing opportunities and business opportunities with fellow Members.

    • Access to the Members' area of the Website.

    • Any specific benefits outlined for your chosen Membership Tier.

  • Intellectual Property Rights (IPR): All intellectual property rights including, without limitation, patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

  • Member / You / Your: The individual or company who is named on the Application for Membership and whose Membership has been accepted by Talk Business UK.

  • Membership: The contractual relationship between Talk Business UK and the Member, for the provision of the Detailed Service, for the duration of the Contract Term or any subsequent Renewed Term.

  • Membership Fee: The payment due to Talk Business UK for the provision of the Detailed Service for the Contract Term or any Renewed Term.

  • Membership Tier: The specific level of membership chosen by the Member (e.g., Talk Business Annual, Talk Business Monthly, Talk Business Plus), each having distinct benefits and a corresponding Membership Fee.

  • Renewed Term: Any subsequent 12-month period of Membership following the initial Contract Term, provided the Membership is renewed in accordance with these Terms.

  • Website: The website operated by Talk Business UK at www.talkbusinessuk.com.

  • UNO Add-on: An additional service which, when added to a Talk Business Membership, covers registration and inclusion in the UNO website directory.

 

2. Agreement to These Terms

 

2.1 By submitting an Application for Membership, you confirm that you've read, understood, and agree to be bound by these Terms and our Privacy Policy. 2.2 We reserve the right to amend these Terms at any time. Any changes will be notified to you in writing (e.g., via email or by prominent notice on our Website) at least 14 days in advance of those changes taking effect. Your continued Membership or use of the Detailed Service after such notification will signify your acceptance of the updated Terms. If you don't agree to the updated Terms, you may have the right to terminate your Membership in accordance with Clause 7.3. 2.3 It's your responsibility to ensure that all information you provide in your Application and keep on your account is accurate, complete, and up-to-date.

 

3. Membership Application and Acceptance

 

3.1 All Applications for Membership are subject to acceptance by Talk Business UK at our sole discretion. We reserve the right to refuse any Application without providing a reason. 3.2 Membership is conditional upon our receipt of your completed Application form and the initial Membership Fee (or first instalment, if applicable). 3.3 A Contract for Membership is formed when we send you an email confirmation accepting your Application and confirming your Membership start date. 3.4 Membership of Talk Business UK is for the specific entity or individual named in the Application. * Unless otherwise specified for a particular Membership Tier, memberships generally allow multiple representatives from the Member organisation to attend Talk Business UK events and access the Website, subject to any limitations of the specific Membership Tier. * Any specific limitations or named individual requirements for certain tiers (e.g., for "Talk Business Monthly" if it's tied to an individual, or for the UNO Add-on) will be clearly stated at the point of purchase. 3.5 Membership provides access to the Detailed Service for the Contract Term or any Renewed Term, provided all Membership Fees are paid in full and up to date.

 

4. Detailed Service Provision

 

4.1 Talk Business UK shall use its reasonable endeavours to provide the Detailed Service with reasonable care and skill.

4.2 We will endeavor to provide the Detailed Service within advertised times; however, time shall not be of the essence.

4.3 Talk Business UK may make any changes to the Detailed Service which are necessary to comply with any applicable law or safety requirements, or which don't materially affect the nature or quality of the Detailed Service, without prior notification to the Member.

4.4 We aim to encourage business growth through building solid business relationships, growing knowledge through learning, and sharing business opportunities with fellow Talk Business UK Members. However, we can't guarantee any specific business outcomes, leads, or financial return on your investment. The success of your Membership largely depends on your active participation and engagement with the Detailed Service.

4.5 Event Attendance Fees: Please note that there may be additional meeting attendance fees payable for specific events (e.g., face-to-face events that include catering or special administration costs). Such fees will be clearly communicated in advance for each event.

4.6 Member Offers & Discounts: We encourage Members to offer discounts and special offers to other Members. While we will endeavour to monitor and promote these, Talk Business UK takes no responsibility for the terms, quality, or fulfilment of any offers or discounts made by other Members. Any such arrangement is a direct contract between the offering and accepting Members.

 

5. Membership Tiers

 

5.1 Talk Business UK offers the following Membership Tiers, each with specific benefits and Membership Fees. Full details of the benefits associated with each tier are available on our Website at www.talkbusinessuk.com/memberships: * Talk Business Annual: An annual membership option paid in full at the start of the Contract Term or Renewed Term. * Talk Business Monthly: This is an annual membership for a 12-month Contract Term (or Renewed Term), where the total annual Membership Fee is paid over 12 equal monthly instalments. This isn't a monthly subscription that can be terminated on a month-by-month basis. * Talk Business Plus: A premium membership offering enhanced benefits, higher profile, and access to exclusive events. (Remember to have specific details on your website for this tier).

5.2 UNO Add-on: * The "UNO Add-on" is an optional additional service available exclusively to existing Talk Business Members. * It requires an additional fee of £100 (or the current advertised fee) to cover registration and inclusion in the UNO website directory. * The UNO Add-on terms and conditions, including directory listing and benefits, will be provided at the point of purchase of this add-on.

5.3 The benefits associated with each Membership Tier and any add-ons may be updated or modified by Talk Business UK from time to time. Any material changes will be communicated to you in accordance with Clause 2.2.

 

6. Membership Fees and Payments

 

6.1 The Membership Fee for your chosen Membership Tier is as stated on our Website or as agreed in your Application.

6.2 All Membership Fees are exclusive of VAT, for which the Member is liable at the prevailing rate.

6.3 The Membership Fee for Talk Business Annual and Talk Business Plus is due in full at the start of the Contract Term (or Renewed Term).

6.4 Talk Business Monthly (Instalment Payments): Where you have selected the "Talk Business Monthly" option, the Membership Fee for the full 12-month Contract Term (or Renewed Term) will be paid over 12 equal monthly instalments. * Payments will typically be set up via Direct Debit or Standing Order. * An invoice reflecting the full 12-month Membership Fee for the Contract Term will be issued, with a payment schedule for the monthly instalments. * Important: This is an annual commitment paid monthly and not a monthly subscription that can be cancelled at any time during the 12-month period. You remain liable for the full 12 months of the Contract Term or Renewed Term.

6.5 All payments must be made in cleared funds by the due dates specified on the invoice or in your payment schedule.

6.6 Overdue Payments: If any Membership Fee or instalment isn't paid by the due date: * Talk Business UK reserves the right to suspend or terminate your Membership, including access to the Website, events, and other Detailed Services, immediately until full payment is received. * You will remain liable for the full Membership Fee for the entire Contract Term or Renewed Term, regardless of any suspension or termination due to non-payment. This applies to all tiers, including "Talk Business Monthly". * We may charge interest on overdue amounts at the rate of 4% per annum above the Bank of England's base rate from time to time, accruing daily from the due date until the date of actual payment, whether before or after judgment. * We reserve the right to recover any reasonable costs incurred in collecting overdue amounts.

 

7. Renewal and Termination of Membership

 

7.1 Automatic Renewal (Unless Opted Out): Your Membership (for all tiers) will automatically renew for a Renewed Term of 12 months at the end of your current Contract Term or Renewed Term, unless you provide us with notice of your intention to terminate.

7.2 Notice of Renewal: We will endeavor to notify you approximately 1 to 2 months before the end of your current 12-month period of the impending renewal and your option to terminate.

7.3 Termination by Member: * You may terminate your Membership at the end of the current Contract Term or Renewed Term by providing Talk Business UK with at least 30 days' written notice prior to the end date of that 12-month period. * No refunds will be given for any part or full term of annual Membership outstanding if you terminate your Membership before the end of the contracted 12-month period (Contract Term or Renewed Term), unless Talk Business UK is in material breach of these Terms as outlined in Clause 7.4, or unless statutory cooling-off rights apply. * Statutory Cooling-off Period (Consumers only): If you are a consumer (an individual acting for purposes wholly or mainly outside your trade, business, craft or profession) and purchased your Membership online or off-premises, you generally have a 14-day "cooling-off" period from the date of entering the Contract. During this period, you can cancel and receive a full refund, unless you have requested and we have provided services during this period, in which case a proportionate amount may be charged for services rendered. This cooling-off period also applies to renewals for a further period of 12 months or more. To exercise this right, you must clearly inform us of your decision to cancel.

7.4 Termination by Talk Business UK (or Member for Breach): * Either party may terminate the Contract immediately by written notice if the other party: * Commits a material breach of these Terms which is irremediable or (if such breach is remediable) fails to remedy that breach within 14 days of being notified in writing to do so; * Goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors, or has a receiver or administrator appointed.

7.5 Consequences of Termination: * Upon termination of this Contract for any reason, all sums owed by the Member to Talk Business UK shall become immediately due and payable. * Your access to the Detailed Service, including the Website members' area and events, will cease immediately. * Any offers or discounts you provided to other Members via Talk Business UK will be removed from our platforms. * For the UNO Add-on, access to the directory listing will cease upon termination of the underlying Talk Business Membership.

 

8. Insolvency of Member

 

8.1 This Clause applies if: * The Member makes a voluntary arrangement with its creditors or (being an individual or firm) becomes bankrupt or (being a company) becomes subject to an administration order or goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction); or * An encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of the Member; or * The Member ceases, or threatens to cease, to carry on business; or * Talk Business UK reasonably believes that any of the above events is about to happen and notifies the Member accordingly.

8.2 If this Clause applies, then, without limiting any other right or remedy available to Talk Business UK, we may immediately cancel the Contract or suspend your Membership, including access to our Website and attendance at events. If monthly payments are still due, they will become immediately payable notwithstanding any previous agreement or terms.

 

 

9. Warranties and Limitation of Liability

 

9.1 Talk Business UK warrants to the Member that the Detailed Service will be provided using reasonable care and skill.

9.2 Where Talk Business UK uses the services of any agent or third party (such as speakers at events), Talk Business UK doesn't give any warranty, guarantee, or indemnity in that respect, other than our reasonable care in selecting such third parties.

9.3 No Guarantees of Outcome: Talk Business UK doesn't warrant or guarantee any specific business outcomes, results, or financial benefits from your Membership. The success of your participation in the Detailed Service is your sole responsibility.

9.4 Limitation of Liability: * Except in cases of death or personal injury caused by Talk Business UK's negligence, Talk Business UK shall not be liable to the Member by reason of any representation (unless fraudulent or negligent) for any loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect, special, or consequential loss, damage, costs, expenses, or other claims (whether caused by the negligence of Talk Business UK or its agents or otherwise) which arise out of or in connection with the provision of the Detailed Service. * The entire aggregate liability of Talk Business UK under or in connection with the Detailed Service shall not exceed the total amount paid by the Member to Talk Business UK in the relevant Contract Term or Renewed Term in which the liability arose. * This limitation of liability applies to the fullest extent permitted by law. Your statutory rights as a consumer are not affected.

9.5 Force Majeure: Talk Business UK shall not be liable to the Member or be deemed to be in breach of these Terms by reason of any delay in performing, or any failure to perform, any of Talk Business UK's obligations in relation to the Detailed Service, if the delay or failure is due to any cause beyond Talk Business UK's reasonable control (e.g., acts of God, flood, drought, earthquake or other natural disaster; epidemic or pandemic; terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict; nuclear, chemical or biological contamination or sonic boom; any law or any action taken by a government or public authority; collapse of buildings, fire, explosion or accident; any labour or trade dispute, strikes, industrial action or lockouts; non-performance by suppliers or subcontractors; interruption or failure of utility service). Time shall not be of the essence in such circumstances.

 

10. Member Conduct and Use of Service

 

10.1 As a Member of Talk Business UK, you agree to conduct yourself in a professional, ethical, and business-like manner at all times, treating other Members and Talk Business UK staff with respect.

10.2 Prohibited Conduct: You mustn't, in connection with your Membership or use of the Detailed Service: * Engage in any unlawful, harmful, or abusive behaviour, including harassment, bullying, or discrimination against other Members or staff. * Post or share any content that is defamatory, obscene, indecent, hateful, inflammatory, or sexually explicit. * Infringe the Intellectual Property Rights of Talk Business UK or any third party. * Send unsolicited marketing emails or "spam" to other Members via contact details obtained through Talk Business UK platforms, beyond reasonable, targeted, and professional engagement. * Engage in any activity that could damage the reputation of Talk Business UK or its Members. * Attempt to gain unauthorised access to any part of the Website, other Members' accounts, or our systems. * Impersonate any person or entity or misrepresent your affiliation with any person or entity.

10.3 Email Marketing to Other Members: While we understand that email marketing can be a useful tool, Members are politely asked to keep unsolicited email marketing to other Members to a minimum and to always include a clear 'opt-out' facility on every email in accordance with relevant PECR (Privacy and Electronic Communications Regulations) guidelines. Talk Business UK reserves the right to suspend or terminate a Member's access to the Website and/or Membership in the event of repeated or serious complaints regarding unsolicited marketing emails, which would constitute a breach of these Terms.

10.4 Breach of Conduct: If Talk Business UK receives a complaint about any Member’s behaviour or if we, in our sole discretion, determine that a Member has breached these terms, we reserve the right to suspend or terminate the Membership immediately, without refund.

10.5 Website Access: Membership allows the Member's personnel (as applicable per Membership Tier) to access certain areas of the Talk Business UK website. This access will continue whilst payments are up to date. Should payments lapse, access may be suspended. If a Member should decide to cancel their Membership, access will stop at the end of the contracted term.

 

 

11. Photography and Filming at Our Events

 

11.1 We take photographs and occasionally video footage at our events to document the event, capture the atmosphere, and for promotional and marketing purposes. This includes using images on our Website (www.talkbusinessuk.com), social media channels (e.g., LinkedIn, Facebook, X/Twitter), and in other marketing materials.

11.2 Our lawful basis for processing photographs and videos where individuals may be identifiable is typically legitimate interests. We have a legitimate interest in promoting our Service and events, showcasing the value we provide, and engaging with our community. We believe it's a reasonable expectation for attendees at public or semi-public events to be photographed as part of the event's record and promotion. 1

1.3 We will inform attendees that photography and/or filming will be taking place at our events through various means, including notices displayed prominently at the event venue and in event communications. These notices will clearly state that photography/filming is occurring, the purposes for which images may be used, and how individuals can object or opt-out.

11.4 Your Rights Regarding Your Images: If you don't wish to be photographed or filmed, or if you wish for an image of you to be removed from our platforms, please: * Inform a member of our staff or the photographer at the event. * Contact us at [privacy@talkbusinessuk.co.uk] providing details of the event and the image(s) in question.

11.5 We will make reasonable efforts to accommodate your request, particularly for close-up identifiable images. Please understand that for wide-angle crowd shots, it may not always be feasible to identify and remove all individuals. Also, once an image has been published (e.g., in print or widely shared on social media), it may be difficult or impossible to fully retract it.

11.6 For children under 18, we will always seek explicit consent from a parent or guardian before taking and using their image for promotional purposes.

11.7 Further details about how we handle personal data, including images, are set out in our Privacy Policy.

 

12. Intellectual Property Rights

 

12.1 All Intellectual Property Rights in the Detailed Service, the Website, our branding, logos, materials, content, and any information provided by Talk Business UK remain the property of Talk Business UK or its licensors.

12.2 You are granted a non-exclusive, non-transferable, revocable licence to access and use the Detailed Service and content solely for your internal business purposes or personal use as a Member, in accordance with these Terms.

12.3 You mustn't reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or provided as part of the Detailed Service, except as generally permitted for the purpose of your Membership.

12.4 Any content, data, or materials (including text, images, or videos) that you submit, post, or display on or through the Detailed Service (e.g., forum posts, profile information) grant Talk Business UK a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the operation of the Detailed Service and for our promotional purposes, in any media formats and through any media channels. You represent and warrant that you own or have the necessary rights to grant us this licence.

 

13. Data Protection and Privacy

 

13.1 We collect, use, store, and process your personal data in accordance with our Privacy Policy, which is available on our Website at www.talkbusinessuk.com/privacy. 13.2 By agreeing to these Terms, you acknowledge that you've read and understood our Privacy Policy.

 

14. Complaints Procedure

 

14.1 We strive to provide excellent service. If you have any complaints or concerns regarding your Membership or the Detailed Service, please contact us immediately so we can address the issue.

14.2 Please send your complaint in writing to: * Email: [Your dedicated support/complaints email, e.g., support@talkbusinessuk.co.uk] * Postal Address: 5 Shannon Way, Evesham, Worcestershire, WR11 3FF 14.3 We will acknowledge receipt of your complaint within [e.g., 3 Business Days] and aim to provide a full response or resolution within [e.g., 14 Business Days]. If we need more time, we will inform you of the reason and the new estimated timeframe.

 

15. General Provisions

 

15.1 Notices: * Any notice given to Talk Business UK under these Terms must be sent to our registered office address as set out at the head of this agreement or to [your official email for notices, e.g., legal@talkbusinessuk.co.uk]. * Notices to the Member will be sent to the address or email address provided in your Application form or as subsequently updated by you in writing. It's your responsibility to keep your contact information up to date. * A notice will be deemed to have been received: when delivered if delivered by hand; at 9:00 am on the second Business Day after posting if sent by pre-paid first-class post or recorded delivery; or at the time of transmission if sent by email (provided no error message is received).

15.2 Waiver: No failure or delay by either party in exercising any of its rights under these Terms shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms by the other shall be considered as a waiver of any subsequent breach of the same or any other provision. 

15.3 Severance: If any provision of these Terms is held by any court or other competent authority to be invalid, illegal, or unenforceable in whole or in part, the validity and enforceability of the other provisions of these Terms and the remainder of the provision in question shall not be affected.

15.4 Entire Agreement: These Terms, together with your Application and our Privacy Policy, constitute the entire agreement between you and Talk Business UK relating to your Membership and supersede all prior discussions, correspondence, negotiations, previous arrangements, understandings, or agreements between us relating to the subject matter of these Terms.

15.5 Assignment: You may not assign or transfer your Membership or any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to another organisation.

15.6 Third-Party Rights: These Terms don't create any rights enforceable by any person who isn't a party to them, except that a person who is a permitted successor or assignee of a party to these Terms may enforce such rights. 15.7 Governing Law and Jurisdiction: * These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. * The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
